Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AppointAI platform and services provided by AppointAI, Inc. ("AppointAI," "we," "us"). By accessing or using our Services, you agree to be bound by these Terms.

1. Description of Services

AppointAI provides a SaaS platform for healthcare practices that includes automated appointment reminders (SMS, email, voice), patient self-scheduling, AI scheduling assistance, and practice analytics. Our Services are designed exclusively for healthcare providers and related organizations.

2. Account Registration

You must create an account to use our Services. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at security@appointai.io of any unauthorized use.

3. HIPAA Business Associate Agreement

If you are a HIPAA-covered entity or business associate, your use of AppointAI to process Protected Health Information (PHI) is governed by our Business Associate Agreement (BAA), which is incorporated by reference into these Terms. A signed BAA is provided automatically upon account creation.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable regulations
• Use the Services to send unsolicited communications
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the operation of the Services
• Reverse-engineer or attempt to extract source code from the platform
• Use the Services to store or transmit malicious code
• Misrepresent your identity or affiliation

5. Subscription and Payment

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We may modify pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Free trials are available for 14 days. No credit card is required to start a trial. After the trial period, continued use requires a paid subscription.

6. Intellectual Property

AppointAI and its licensors own all intellectual property rights in the Services, including software, algorithms, designs, and documentation. These Terms do not grant you any ownership rights in the Services. You retain ownership of your practice data and patient data.

7. Data Ownership and License

You retain full ownership of all data you submit to AppointAI. You grant us a limited license to process your data solely to provide the Services. We do not use your patient data to train AI models or for any purpose beyond service delivery.

8. Service Availability

We target 99.9% uptime for all paid plans. We provide 24-hour advance notice for planned maintenance windows. In the event of a service disruption exceeding our SLA targets, we will provide service credits in accordance with our SLA policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPOINTAI'S LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. APPOINTAI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. APPOINTAI DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Termination

You may terminate your account at any time by contacting support. We may terminate your account for material breach of these Terms with 30 days' notice (or immediately for serious violations including HIPAA breaches). Upon termination, your data will be retained for 90 days and then deleted.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.

13. Changes to Terms

We may modify these Terms with 30 days' written notice for material changes. Continued use after the notice period constitutes acceptance. For non-material changes, we will update the "Last updated" date.
